This Seller Agreement (“Agreement”) is entered into by and between you (“Seller,” “you,” or “your”) and Hip-Hop CommUniversity, an initiative of Hip-Hop Education Center Inc. and Hip Hop Congress Inc. (“HHCU,” “we,” “us,” or “our”). This Agreement governs your access to and use of the HHCU marketplace platform (“Platform”) to list, sell, and distribute products or services.
1. Enrollment and Eligibility
To participate as a Seller on the HHCU Platform, you must:
Be at least 18 years of age or a legally registered business entity;
Provide accurate business and tax identification information;
Have the authority to enter into binding agreements;
Agree to comply with all HHCU policies, including but not limited to our Community Standards, Brand Guidelines, and Content Restrictions.
HHCU reserves the right to approve, reject, or revoke any seller account at its sole discretion.
2. Seller Obligations
By listing products or services on the Platform, you agree to:
Maintain accurate product/service listings, descriptions, pricing, and refund policies;
Fulfill all orders promptly and professionally;
Comply with all applicable local, state, and federal laws;
Adhere to posted shipping, return, and refund policies;
Uphold the integrity of the HHCU community by refraining from hate speech, harmful content, and deceptive claims.
3. Intellectual Property and Brand Usage
You retain ownership of your brand and content.
By listing on the Platform, you grant HHCU a non-exclusive, royalty-free license to use, display, and promote your content across HHCU platforms and marketing channels.
You may not use HHCU’s name, logo, or branding outside of the Platform without written permission.
4. Prohibited Activities
Sellers are strictly prohibited from:
Listing counterfeit, stolen, or unlawful goods or services;
Misusing buyer information or violating privacy laws;
Manipulating reviews, ratings, or traffic;
Participating in any activity that undermines HHCU’s mission, values, or legal obligations.
5. Termination
Either party may terminate this Agreement with 10 days’ written notice.
HHCU may suspend or terminate your account immediately for policy violations, fraud, or unlawful conduct.
Upon termination, all outstanding orders must be fulfilled unless otherwise prohibited by law.
6. Limitation of Liability
HHCU is not liable for:
Any losses, damages, or disputes arising from your products, services, or actions;
Seller’s non-compliance with applicable laws or third-party claims;
Operational issues, delays, or platform outages.
You agree to indemnify and hold HHCU harmless from any legal claims, actions, or liabilities related to your use of the Platform.
7. Modifications
HHCU may amend this Agreement at any time. Updates will be posted in the Seller Dashboard and will become effective 10 days after posting unless otherwise stated.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in New York, NY.
9. Entire Agreement
This Agreement, together with the HHCU Terms of Use and Privacy Policy, represents the entire agreement between the parties and supersedes all prior communications, proposals, or agreements.
By registering as a Seller and listing products or services on HHCU, you acknowledge and agree to abide by the terms and conditions outlined in this Agreement.
